End User License Agreement
This agreement governs your use of GlobePunch. Please read it carefully — by using the service you agree to be bound by it.

1. Who you are contracting with
GlobePunch is provided by Preferred IT Systems ("we", "us", "our"). By creating an account or using the service you ("you", "Customer") enter into this agreement with Preferred IT Systems. If you accept this agreement on behalf of a company or other organization, you confirm you have authority to bind that organization. If you are accepting it as an individual, you confirm you are of legal age to form a binding contract.
2. Acceptance of these terms
You accept this agreement by creating an account, purchasing a subscription, or continuing to use the service. If you do not agree, do not use GlobePunch. We may update this agreement from time to time; material changes will be posted on this page with a new effective date, and continued use after that date constitutes acceptance.
3. What the service does
GlobePunch is a cloud-based time and attendance service. It records employee clock-in and clock-out events, optionally verifies them against job-site geofences, supports supervisor approvals and time-off requests, and produces payroll-ready reports and exports.
4. License grant
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use GlobePunch for your organization's internal business purposes during your paid subscription term, subject to the employee count and features included in the plan you have purchased. All rights not expressly granted are reserved.
5. Restrictions
- Do not copy, modify, reverse engineer, decompile, or attempt to derive the source code of the service.
- Do not resell, sublicense, rent, or otherwise make the service available to third parties outside your organization.
- Do not circumvent or attempt to exceed plan limits, seat counts, or technical restrictions.
- Do not use the service to build a competing product or to benchmark it for public release without our written consent.
6. Acceptable use
You must not misuse the service. In particular, you must not:
- use it for any unlawful purpose, or in violation of any applicable labor, wage-and-hour, or privacy law;
- use it for fraud, including falsifying time records, or to send spam;
- infringe the intellectual property or privacy rights of any person;
- upload malware, probe or scan our systems, attempt to gain unauthorized access, interfere with other customers' use of the service, or scrape it by automated means.
7. Your account
You are responsible for keeping account credentials confidential and for all activity that occurs under your organization's accounts, including activity by your administrators, supervisors, and employees. You must provide accurate account and billing information and keep it current. Notify us promptly at hello@globepunch.com if you suspect unauthorized access.
8. Location data and geofencing
Where an organization administrator enables job sites, the service captures the device's approximate location at the moment a punch is submitted, together with an accuracy value and the distance from the configured site. Location is captured at punch time only — the service does not perform continuous or background location tracking. Enforcement is configurable (off, warn, or block). You are responsible for notifying your employees about location capture and for obtaining any consent required by law in your jurisdiction.
9. Ownership
We own the service and all intellectual property in it, including its software, design, documentation, and branding. You own the data your organization puts into the service — employee records, punches, shifts, time-off requests, job sites, and payroll codes ("Customer Data"). You grant us a limited license to host, copy, transmit, and process Customer Data solely to provide, secure, and support the service.
10. Service availability
We work to keep GlobePunch available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or free of data loss. Maintenance, third-party outages, and factors outside our control can affect availability. Mobile punching depends on the employee's device, network, and location permissions.
11. Fees, billing, and taxes
Subscriptions are billed in advance on a recurring basis according to the plan you select, plus any per-employee overage charges described on our pricing page. You are contracting directly with Preferred IT Systems, which is the seller of record for your subscription. Card payments are processed on our behalf by Stripe; we never see or store your full card details. Fees are stated in US dollars and are exclusive of any sales tax, VAT, or similar taxes, which are added where applicable and shown before you confirm your purchase. Our refund commitment is set out in our refund policy.
12. Suspension and termination
We may suspend or terminate access to the service if you materially breach this agreement, fail to pay amounts due, create a security or fraud risk, or repeatedly or seriously violate the acceptable use rules above. Where practical and lawful we will give notice and an opportunity to cure. You may cancel your subscription at any time.
13. Effect of termination
On termination your right to use the service ends. Administrators can export timesheet data at any time while the account is active, and we will keep Customer Data available for export for 30 days after termination. After that period we may delete or anonymise it, subject to any longer retention required by law.
14. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. GlobePunch is a record-keeping tool; it is not legal, tax, or payroll advice, and you remain responsible for compliance with applicable employment and wage laws.
15. Limitation of liability
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to this agreement is limited to the fees you paid to us in the twelve (12) months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill. Nothing in this agreement excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.
16. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data, your unlawful or unauthorized use of the service, or your breach of this agreement.
17. Governing law and disputes
This agreement is governed by the laws of the State of Montana, United States, without regard to conflict-of-law rules. The courts located in that jurisdiction have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief where necessary to protect its intellectual property.
18. Assignment and force majeure
You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, labor disputes, internet or utility failures, and acts of government.
